MINUTES: CITY COUNCIL MEETING JUNE 29 2008 PRESENT: Mayor Joe Higgs, Councilman Robert Patton, Councilman Glenn Ervin, Councilman Mike Walker, Councilman Thomas Muir, Councilman Andy Garza OTHERS PRESENT: City Manager Mike Brice, City Secretary/Asst City Manager Rose Chavez, Shannon Graves, Sanger Courier, Peggy Hinklewolf, Denton Record Chronicle 1. Call Meeting to Order, Invocation, Pledge of Allegiance. Mayor called meeting to order, led the invocation, followed by Councilman Garza leading the Pledge of Allegiance. 2. Citizens Input: Citizens are allowed 3 minutes to speak. The City Council is unable to respond or to discuss any issues that are brought up during this section. None CONSENT AGENDA 3, a) Approve Minutes May 13, 2008 -Special May 19, 2008 - City Council b) Disbursements In reference to the minutes that discussed infiltration to the sewer plant the Council discussed the sources that create infiltration that included clay the lines and clean outs. City Manager explained there is major infiltration coming from the Duck Creek line. There was discussion in possibly offering an incentive to citizens to replace clay utility lines. Motion was made by Councilman Muir to approve consent agenda as presented. Seconded by Councilman Walker. Motion carried unanimously. 4. Consider any Items Removed from Consent Agenda. None S. Consider and Approve the Sanger 4B, Economic Development Board to Expend Funds on Streetscape Project in the Amount of $57,000.00 and Soccer Goals in the Amount of $4,500.00. City Manager advised the 4B approved these two expenditures that were not to exceed the amounts indicated. The streetscape amount includes light poles, benches, planters, and the trash cans. The soccer goals include six soccer goals that will be placed at the Sanger Middle School for practice until we build our own soccer fields. Hollingsworth Manufacturing was contacted and the City will be able to get these at a lower price. The public notice was published last week and after the Council approves, the final requirement is the 60-day time frame to expense the funds. Discussion concerning the construction of the Streetscape project. Councilman Patton made the motion to approve the request from Sanger 4B Economic Board to expend funds on the Streetscape project in the amount of $57,000 and the soccer goals not to exceed $4500.00. Seconded by Councilman Walker. Motion carried unanimously. 6. Consider and Possible Action on Ordinance #06-21-08 -Amending Chapter 12 "Traffic and Vehicles" Section 12.603 Prohibiting Parking in Certain Places. City Manager advised that the ordinance is adding section (e) to allow "No Parking" signs to be placed on the north side of Cherry Street from 4th Street West 110 ft. The resident is continuously having problems from people parking on her property. Councilman Ervin addressed section (d) in the ordinance and indicated he would like the "No Parking" signs from the West side of 10`h Street from Bolivar Street to Austin to be removed from the ordinance. He visited with Mr. Biggerstaff, Superintendent of the school district and he has no problem with the removal of the signs. Next year the facility will only be utilized as an alternative school. There was a brief discussion concerning the removal of the signs. Motion was made by Councilman Garza to approve Ordinance #06-21-08 adding item (e) to the ordinance and deleting item (d) as presented. Seconded by Councilman Ervin. Motion carried unanimously. Caption as follows: ORDINANCE 06-21-08 AN ORDINANCE OF THE CITY OF SANGER, TEXAS, CHAPTER 12 "TRAFFIC AND VEHICLES," SECTION 12.603 PROHIBITING PARKING IN CERTAIN PLACES; IN THE CITY OF SANGER CODE OF ORDINANCES IS HEREBY AMENDED; PROVIDING FOR THE REPEAL OF ALL ORDINANCES IN CONFLICT; PROVIDING A SEVERABILITY CLAUSE; PROVIDING FOR A PENALTY; AND PROVIDING FOR AN EFFECTIVE DATE. 7. Consider and Approve Authorization of City Manager to Declare City Property Surplus and Dispose of in an Appropriate Manner. City Manager indicated this will define a process on the disposal of surplus property. It will authorize the City Manager to declare equipment surplus and dispose of it in the appropriate manner. The Council will be informed of any property that is to be disposed of. The process included the department supervisor submitting a form that he will approve and the method of disposal. Discussion concerning the auction of vehicles. City Secretary advised I I Kane Auctioneers is taking care of the sale of the digger truck. The City Mechanic is getting all the other items ready to be auction through Renee Bates. Motion was made by Councilman Ervin to authorize City Manager to declare City property surplus and disposed of in an appropriate manner. Seconded by Councilman Garza. Motion carried unanimously. 8. Information Items: a) New City Hall Expense Summary City Manager gave a brief update on the City Hall progress report. He commended Rob Woods and Dewayne Douthitt in making sure we are getting quality work for a good price. He hopes that we can be in the facility in 60 days. 9. Adjournment. This Aareement is basically the same the Agreements have been for several years. There are. however. 2 substantive changes to the Agreements this year: Section VII, paragraph 1 sets a minimum annual char��e for the October mailing, that charge is 5500.00. This base charge will offset the cost of setting up for each year's tax collections in the Tax Office. Section VII, paragraph 2 establishes a surcharge, per parcel, on property that is outside Denton County. This surcharge is to cover the added cost of preparing out of County tax rolls. The Tax Office sofrivare provider has performed the annual conversion for the roil from one Appraisal District at no charge. Beginning this year the legislature (HB 1010) requires the Tax Office to work Nvith appraisal rolls from several Appraisal Districts. Each appraisal roll has to be converted separately. The surcharge is to cover the cost of the conversion of out of Count' appraisal rolls. WHEREAS, COUNTY and MUNICIPALITY mutually desire to be subject to the provisions of V.T.C.A. Government Code, Chapter 791, the Interlocal Cooperation Act, and V.T.C.A., Tax Code, Section 6.24 and 25.17 and; WHEREAS, MUNICIPALITY has the authority to contract with the COUNTY for the COUNTY to act as tax assessor and collector for MUNICIPALITY and COUNTY has the authority to so act; NOW THEREFORE, COUNTY and MUNICIPALITY, for and in consideration of the mutual promises, covenants, and agreements herein contained, do agree as follows: I. The effective date of this Agreement shall be the ls' day of October, 2008. The term of this Agreement shall be for a period of one year, from October 1, 2008, to and through September 30, 2009. This Agreement shall be automatically renewed for an additional one (1) year term at the discretion of the COUNTY and MUNICIPALITY, unless written notice of termination is provided by the terminating party to the other party prior to one hundred -fifty (150) days of the expiration date of the initial term of the Agreement. For the purposes and consideration herein stated and contemplated, COUNTY shall provide the following necessary and appropriate services for MUNICIPALITY to the maximum extent authorized by this Agreement, without regard to race, sex, religion, color, age, disability, or national origin: 1. COUNTY, by and through its duly qualified tax assessor -collector, shall serve as tax assessor -collector for MUNICIPALITY for ad valorem tax collection for tax year 2008, and each tax year for the duration of this Agreement. COUNTY agrees to perform all necessary ad valorem assessing and collecting duties for MUNICIPALITY and MUNICIPALITY does hereby expressly authorize COUNTY to do and perform all acts necessary and proper to assess and collect taxes for MUNICIPALITY. COUNTY agrees to collect base taxes, penalties, interest, and attorneys fees. 2. COUNTY agrees to prepare and mail all tax statements; provide monthly collection reports to MUNICIPALITY; prepare tax certificates; develop and maintain both current and delinquent tax rolls; meet the requirements of Section 26.04 of the Texas Tax Code; and to develop and maintain such other records and forms as are necessary or required by State law, rules, or regulations. 3. COUNTY further agrees that it will calculate the effective tax rates and rollback tax rates for MUNICIPALITY and that such calculations will be provided at no additional cost to MUNICIPALITY. The information concerning the effective and rollback tax rates will be published in the form prescribed by the Comptroller of Public Accounts of the State of Texas, and as required by Section 26.04 of V.T.C.A. Tax Code. MUNICIPALITY shall notify tax assessor -collector at least 7 days before Page 2 of 11 MUNICIPALITY wishes publication of forms specified in this section. It is understood and agreed by the parties that the expense of publication shall be borne by MUNICIPALITY and that COUNTY shall provide NIUNICIPALITY's billing address to the newspaper publishing the effective and rollback tax rates. 4. COUNTY agrees, upon request, to offer guidance and the necessary forms for posting notices of required hearing and quarter -page notices as required by Sections 26.05 and 26.06 of V.T.C.A. Tax Code, if MUNICIPALITY requests such 7 days in advance of the intended publication date. Should MUNICIPALITY vote to increase its tax rate above the rollback tax rate, or more than three percent (3%) above the effective tax rate, whichever is lower, (or other limits required by current legislation) the required publication of quarter -page notices shall be the responsibility of MUNICIPALITY. 5. COUNTY agrees to develop and maintain written policies and procedures of its operation. COUNTY further agrees to make available frill information about the operation of the County Tax Office to MUNICIPALITY, and to promptly furnish written reports to keep MUNICIPALITY informed of all financial information affecting it. 6. MUNICIPALITY agrees to promptly deliver to COUNTY all records that it has accumulated and developed in the assessment and collection of taxes, and to cooperate in furnishing or locating any other information and records needed by COUNTY to perform its duties under the terms and conditions of this Agreement. 7. COUNTY agrees to allow an audit of the tax records of MUNICIPALITY in COUNTY'S possession during normal working hours with at least 48 hours advance, written notice to COUNTY. The expense of any and all such audits Page 3 of 11 shall be paid by MUNICIPALITY. A copy of any and all such audits shall be furnished to COUNTY. 8. If required by MUNICIPALITY, COUNTY agrees to obtain a surety bond for the County Tax Assessor/Collector. Such bond will be cononed upon the faithful performance of the Tax Assessor/Collector's lawful duties, will be made payable to MUNICIPALITY and in an amount determined by the governing body of 1vIUNICIPALITY. The premium for any such bond shall be borne solely by MUNICIPALITY. 9. COUNTY agrees that it will place quarter -page advertisements in newspapers serving Denton County in January, 2009, as a reminder that delinquent tax penalties will apply to all assessed taxes which are not paid by January 31, 2009. The advertisements will be printed two times in each paper between January 5`h and January 25`h. 10. COUNTY agrees that it will post to a secure website collection reports for MUNICIPALITY listing current taxes, delinquent taxes, penalties and interest on a daily basis between October 1, 2008 and March 31, 2009 and on a weekly basis between April 1, 2009 and September 30, 2009; provide monthly Maintenance and Operation (hereinafter referred to as "MO"), and Interest and Sinking (hereinafter referred to as "IS") collection reports; provide monthly recap reports; and provide monthly attorney fee collection reports. 11. MUNICIPALITY retains its right to select its own delinquent tax collection attorney and COUNTY agrees to reasonably cooperate with the attorney selected by MUNICIPALITY in the collection of delinquent taxes and related activities. Page 4 of 11 COUNTY hereby designates the Denton County Tax Assessor/ Collector to act on behalf of the County Tax Office and to serve as Liaison for COUNTY with MUNICIPALITY. The County Tax Assessor/Collector, and/or his/her designee, shall ensure the performance of all duties and obligations of COUNTY; shall devote sufficient time and attention to the execution of said duties on behalf of COUNTY in full compliance with the terms and conditions of this Agreement; and shall provide immediate and direct supervision of the County Tax Office employees, agents, contractors, subcontractors, and/or laborers, if any, in the furtherance of the purposes, terms and conditions of this Agreement MUNICIPALITY. for the mutual benefit of COUNTY and IV. COUNTY accepts responsibility for the acts, negligence, and/or omissions related to property tax service of all COUNTY employees and agents, sub -contractors and /or contract laborers, and for those actions of other persons doing work under a contract or agreement with COUNTY to the extent allowed by la�v. V. MUNICIPALITY accepts responsibility for the acts, negligence, and/or omissions of all MUNICIPALITY employees and agents, sub -contractors and/or contract laborers, and for those of all other persons doing work under a contract or agreement with MUNICIPALITY to the extent allowed by law. MUNICIPALITY understands and agrees that MUNICIPALITY, its employees, servants, agents, and representatives shall at no time represent themselves to be employees, servants, agents, and/or representatives of COUNTY. COUNTY understands and agrees that COUNTY, its employees, servants, agents, and representatives shall at no time represent themselves to be employees, servants, agents, and/or representatives of MUNICIPALITY. VII. For the services rendered during the 2008 tax year, MUNICIPALITY agrees to pay COUNTY for the receipting, bookkeeping, issuing, and mailing of tax statements as follows: 1. The current tax statements will be mailed on or about October 20th or as soon thereafter as practical. The fee for this service will be a rate not to exceed Seventy- three Cents ($.73) per statement, but a minimum fee per year for the October mailing will be $500.00. If MUNICIPALITY does not adopt a tax rate before September 29, 2008, the tax rate for MUNICIPALITY will be set at the lower of the effective tax rate calculated for that year or the tax rate adopted by MUNICIPALITY for the preceding tax year. Before the fifth day after establishment of a tax rate under this provision, MUNICIPALITY must ratify the applicable tax rate in the manner required by Article 26.05(b) of the Texas Tax Code. 2. MUNICIPALITY understands and agrees that COUNTY will assess a surcharge for each parcel (account) that is physically outside the geographical limits of Page 6 of 11 the COUNTY The surcharge will be a fee not to exceed twenty-five cents ($.25) per parcel and will be billed to MUNICIPALITY in the month of December. 3. sjl An additional notice will be sent during the month of March following the initial mailing provided that MUNICIPALITY has requested such a notice on or before February 28th. The fee for this service will be a rate not to exceed Seventy-three Cents statement. 4. At least 30 days, but no more than 60 days, prior to Aprii 1st, and following the initial mailing, a delinquent tax statement meeting the requirements of Section 33.11 of the Texas Property Tax Code will be mailed. The fee for this service will be a rate not to exceed Seventy-three Cents ($.73) per statement 5. At least 30 days, but no more than 60 days, prior to July 1st, and following the initial mailing; a delinquent tax statement meeting the requirements of Section 33.07 of the Texas Property Tax Code will be mailed. The fee for this service will be a rate not to exceed Seventy-three Cents ($.73) per statement. 6. In event of a successful rollback election which takes place after tax bills for MUNICIPALITY have been mailed, MUNICIPALITY agrees to pay COUNTY a programming charge of $5,000.00. The fee for this service will be a rate not to exceed Seventy-three Cents ($.73) Property Tax Code Section 26.07 (f). When a refund is required per Property Tax Code Section 26.07 (g), a $.25 processing fee per check will be charged, in addition to the corrected statement mailing costs. Issuance of refunds, in the event of a successful rollback election, will be the responsibility of the COUNTY. MUNICIPALITY will be billed for the refunds, postage and processing fees. Page 7 of 11 r 7. MUNICIPALITY understands and agrees that COUNTY will bill MUNICIPALITY following each mailing for which charges are permitted. Payment is due upon receipt of the statement. 8. MUNICIPALITY further understands and agrees that COUNTY (at its sole discretion) may increase or decrease the amounts charged to MUNICIPALITY for any renewal year of this Agreement, provided that COUNTY gives written notice to MUNICIPALITY sixty (60) days prior to the expiration date of the initial term of the Agreement. VIII. COUNTY agrees to remit all taxes, penalties, and interest collected on NIUNICIPALITY's behalf and to deposit such funds into the MUNICIPALITY'S depositories as designated; 1. For deposits of tax, penalties, and interest, payment shall be by wire transfer or by check sent by mail to MUNICIPALITY's accounts only, and segregated into the appropriate MO and IS accounts. 2. If MUNICIPALITY uses the same depository as COUNTY, the deposits of tax, penalty and interest shall be by deposit transfer. 3. In anticipation of renewal of this Agreement, COUNTY further agrees that from October 1, 2008 through March 31, 2009, deposits will be made daily and from April 1, 2009, through September 30, 2009, deposits will be made weekly. For end of month reporting, there will be a deposit made at the end of each month. It is expressly understood, however, that this obligation of COUNTY shall not survive termination of Page8of11 this Agreement, whether by termination by either party or by failure of the parties to renew this Agreement. IX. In the event of termination, the withdrawing party shall be obligated to make such payments as are required by this Agreement through the balance of the tax year in which notice is given. COUNTY shall be obligated to provide services pursuant to this Agreement, during such period. X. This Agreement represents the entire agreement bettiveen MUNICIPALITY and COUNTY and supersedes all prior negotiations, representations, and/or agreements, either written or oral. This Agreement may be amended only by written instrument signed by the governing bodies of both iVIUNICIPALITY and COUNTY or those authorized to sign on behalf of those governing bodies. XI. This agreement provides a framework between the 2 parties for future dealings and further interconnections if needed. This Interconnection Agreement ("Agreement") is made and entered into this _day of , 2008, ("Effective Agreement Date") by the City of Sanger, a Texas Home Rule municipal corporation of the State of Texas ("City") and Brazos Electric Power Cooperative, Inc. ("Brazos Electric"), a cooperative corporation organized under the laws of the State of Texas, each hereinafter sometimes referred to individually as "Party" or both referred to collectively as the "Parties". Inconsideration of the mutual covenants set forth herein, the Parties agree as follows: ARTICLE 1. DEFINITIONS Capitalized terms shall have the meanings as set forth below, except as otherwise specified in the Agreement: 1.1 "Distribution System" shall mean an electrical system operating below 60,000 volts (60KV), when measured phase4o-phase. 1,2 "Effective Service Date" shall mean each date ascribed thereto in Exhibit A for the applicable Facility Schedule under this Agreement for a Point of Interconnection. 1.3 "ERGOT" shall mean the Electric Reliability Council of Texas or its successor in function. 1.4 "ERGOT Operating Guides" shall mean those operating guides promulgated by ERCOT relating to practices to be followed in the operation of the interconnected systems of the member utilities of ERCOT, in effect and as amended from time to time, and any successor guides or rules of ERCOT applicable to the same subject matter. 1.5 "ERGOT Protocols" shall mean the documents adopted by ERGOT, including any attachments or referenced exhibits, in effect and as amended from time to time that contain the scheduling, operating, planning, reliability, settlement policies, rules, guidelines, procedures, standards, and criteria of ERCOT, and any successor rules of ERCOT applicable to the same subject matter. 1.6 "Facility Schedule" shall specify for each Point of Interconnection the facilities to be provided by the Parties, the ownership thereof, the nominal voltage at the interconnection, the method of metering, the operating and maintenance responsibilities of each Party with respect to each Point of Interconnection, and such other terms and conditions as are deemed mutually agreeable by the Parties. Page 1 Brazos/SangerInterconnection 1.7 "Good Utility Practice" shall mean any of the practices, methods and acts engaged in or approved by a significant portion of the electric utility industry during the relevant time period, or any of the practices, methods and acts which, in the exercise of reasonable judgment in light of the facts known at the time the decision was made, could have been expected to accomplish the desired result at a reasonable cost consistent with good business practices, reliability, safety and expedition. Good Utility Practice I s not intended to be limited to the optimum practice, method, or act to the exclusion of all others, but rather to be acceptable practices, methods, or acts generally accepted in the region. Good Utility Practice shall include, but not be limited to, conformance with the applicable and consistently applied reliability criteria, standards and operating guides of ERCOT and the North American Electric Reliability Corporation, or successor organization(s). 1.8 "Point(s) of Interconnection" shall mean the interconnection locations) specified on Exhibit A hereto and the attached Facility Schedules where the Parties interconnect their facilities. 1.9 "PUCT" shall mean the Public Utility Commission of Texas or its successor in function. 1.10 "PUCT Substantive Rule(s)" shall mean Substantive Rules as promulgated by the Public Utility Commission of Texas ("PUCT"), in effect and as amended from time to time, and any successor rules of the PUCT applicable to this Agreement. 1.11 "TCOS" are costs incurred by an electric utility, amunicipally-owned utility, or an electric cooperative to own, operate, and maintain facilities for the transmission of electricity which operates at or above 60,000 (60KV) volts when measured phase -to phase. 1.12 "Telemetry" shall have the meaning set forth in the ERCOT Operating Guides. 1.13 "Transmission System" shall mean an electrical system operating at 60,000 volts (60KV) or above, when measured phase -to -phase. ARTICLE 2. ESTABLISHMENT, MODIFICATION AND TERMINATION OF POINTS OF INTERCONNECTION 2.1 The Parties agree to interconnect their facilities at the Points of Interconnection in accordance with the terms and conditions, specified on Exhibit A hereto and the attached Facility Schedules. Brazo&/Sanger Interconnection 2.2 Subject to Section 8.1, this Agreement becomes effective on the Effective Agreement Date of this Agreement and shall continue in full force thereafter from yeamo-year until terminated by mutual agreement or by either Party upon at least three (3) years prior written notice. Upon termination of this Agreement, each Party shall discontinue the use of the facilities of the other and shall disconnect the Point(s) of Interconnection. Any TCOS recovery obligations in this Agreement shall survive termination of this Agreement until such obligations are fulfilled in accordance to the provisions in the applicable Facility Schedule. 2.3 This Agreement maybe amended only upon mutual agreement by the Parties, which amendment will not be effective until reduced to writing and executed by both Parties. From time to time, a Point of Interconnection may be added, changed, modified, or deleted from this Agreement as mutually agreed to in writing by the Parties and/or as ordered by a regulatory authority having jurisdiction thereof. 2.4 Either Party may request the other Party to upgrade or modify its terminal facilities at a Point of Interconnection in accordance with the other Party's standard design of equipment and practice, provided that the upgrade or modification is consistent with Good Utility Practice and, if applicable, approved by the Regional Planning Group of ERCOT. The requesting Party shall provide the responsive Party a minimum of at least three (3) years notice of the upgrade or modification of its terminal facilities at a Point of Interconnection. A shorter notice term is acceptable but only by mutual acceptance of both Parties. Such request shall not be unreasonably denied. 2.5 The responsibilities ofthe Parties for the costs associated with the establishment of each Point of Interconnection shall be as specified in the applicable Facility Schedule, Both Parties agree that each Point of Interconnection will be established and maintained in conformance with the ERCOT Operating Guides and Protocols. 2.6 Unless otherwise provided in a Facility Schedule, each Party shall, at each Point of Interconnection, at its own risk and expense, design, install, or cause the design and installation of the transmission or distribution facilities (including all apparatus and necessary protective devices) on its side of the Point of Interconnection, so as to reasonably minimize the likelihood of voltage and frequency abnormalities, originating in the system of one Party, from affecting or impairing the system of the other Party, or other systems to which the system of such Party is interconnected. The Parties agree to cause their systems to be constructed in accordance with specifications at least equal to those provided by the National Electrical Safety Code, approved by the American National Standards Institute, in effect at the time of construction. 2.7 Unidirectional or bi-directional operation for each Point of Interconnection shall be specified on the applicable Facility Schedule. EM BrazosManger Intercotum ion 2.8 This Agreement, including all attached Exhibits and Facility Schedules, which are expressly made a part hereof for all purposes, constitutes the entire agreement and understanding between the Parties with regard to the interconnection of the facilities of the Parties at the Points of Interconnection expressly provided for in this Agreement. The Parties are not bound by or liable for any statement, representation, promise, inducement, understanding, or undertaking of any kind or nature (whether written or oral) with regard to the subject matter hereof not set forth or provided for herein. This Agreement replaces all prior agreements and undertakings, oral or written, between the Parties with regard to the subject matter hereof, and all such agreements and undertakings are agreed by the Parties to no longer be of any force or effect. It is expressly acknowledged that the Parties may have other agreements covering other services not expressly provided for herein, which agreements are unaffected by this Agreement. 2.9 This Agreement has been duly authorized by all necessary corporate action by such Party, has been duly executed and delivered by such Party, and constitutes the legal, valid and binding agreement of such Party enforceable against such Party in accordance with its terms. ARTICLE 3. SYSTEM OPERATION AND MAINTENANCE 3.1 Each Party will, at its own cost and expense, operate, maintain, repair, and inspect, and shall be fully responsible for liabilities related to the transmission and distribution lines and related facilities which it now or hereafter may own located at or connected to each Point of Interconnection, unless otherwise specified on the applicable Facility Schedule. 3.2 Maintenance by either Party that will cause a deviation from normal power and energy flow at a Point of Interconnection will be scheduled at a mutually agreeable time. Emergency operations shall be in accordance with the applicable provisions in the ERCOT Operating Guides. No changes will be made in the normal operation of a Point of Interconnection without the mutual agreement of the Parties. 3.3 The Parties will review, coordinate, and exchange equipment specifications and protective relaying information and settings that affect the establishment of and interconnected operations of the Points of Interconnections. Each Party will coordinate the protective devices of the lines and facilities it owns and operates at each Point of Interconnection. 3.4 Each Party covenants and agrees to design, install, maintain, and operate, or cause the design, installation, maintenance, and operation of, its Brazos/Sanger Interconnection Transmission System and Distribution System and related facilities so as to reasonably minimize the likelihood of a disturbance, originating in the system of one Party, affecting or impairing the system of the other Party, or other systems with which the Party is interconnected. 3.5 Each Party will provide the reactive requirements for its own system as ruled by the PUCT or in accordance with the ERCOT Operating Guides and ERCOT Protocols, 3.6 The operation of either Party's faces shall not cause a synchronous interconnection between ERCOT and any other transmission facilities operated outside of ERCOT. Any such interconnection will give either Party the right to immediately disconnect the effected Point(s) of Interconnection until such interconnection is removed. ARTICLE 4. RIGHTS OF ACCESS, EQUIPMENT REMOVAL AND INSTALLATION 4.1 Each Party shall permit duly authorized representatives and employees of the other Party to enter upon its premises for the purpose of inspecting, testing, repairing, renewing or exchanging any or all of the equipment owned by such other Party that is located on such premises or for the purpose of performing any work necessary in the performance of this Agreement. 4.2 During periods of emergency conditions declared by the ERCOT or as necessary to restore customer service, either Party may operate equipment that is normally operated by the other Party, provided that authorization to do so must first be received from the Party that normally operates the equipment, such authorization not to be unreasonably withheld or delayed. It shall be considered reasonable for the Party that normally operates such equipment to deny such a request by the other Party if the withholding Party will provide such operation within the time frame called for in the circumstances. Such operations by the other Party will be at no cost to the owner or normal operator of the equipment. 4.3 Any and all equipment placed on the premises of a Party shall be and remain the property of the Party providing such equipment regardless of the mode and manner of annexation or attachment to real property, unless otherwise mutually agreed to in writing by the Parties. Brazos/Sanger Interconnection ARTICLE 5.OTHER SERVICES 5.1 This Agreement is applicable only to the interconnection of the facilities of the Parties at the Points of Interconnection and does not obligate the Parties to provide, or entitle the Parties to receive, any service not expressly provided for herein. Each Party is responsible for making the arrangements necessary for it to receive any other service that it may desire from the other Party or any third party. 5.2 Each Facility Schedule shall indicate whether any other tariffs, services or rates apply at each Point of Interconnection. ARTICLE 6. INDEMNIFICATION 6.1 The provisions of PUCT Substantive Rule 25.202, or its successor in function, in effect and as amended from time to time throughout the term of this Agreement, shall govern the liabilities of each Party, including any liabilities for damages in the event of any act beyond such Party's control, and the obligation of each Party to indemnify the other in the event of losses resulting from negligence or other fault in the design, construction or operation of their respective facilities. 6.2 Except as set forth herein, there is no warranty of merchantability or fitness for a particular purpose, and any and all implied warranties are disclaimed. ARTICLE 7. SUCCESSORS AND ASSIGNS 7.1 This Agreement is not intended to and does not create any rights, remedies, or benefits whatsoever in favor. of any persons or entities other than the Parties to this Agreement. A Party's rights under this Agreement may not be assigned, except to persons who are wholly owned subsidiaries of the Party, the parent corporation of the Party or are controlled by the same parent corporation, without the prior written consent of the other Party; provided, however, Brazos Electric may, without the prior consent of City, assign, transfer, mortgage or pledge this Agreement to create a security interest for the benefit of the United States of America acting through the Administrator of the Rural Utilities Service. The rights and obligations of this Agreement are solely for the use and benefit of, and shall be binding upon, the Parties, their successors -in -interest and, where permitted, their assigns. Brazos/Sanger Interconnection 7.2 This Agreement shall not be interpreted or construed to create an association, joint venture or partnership between the Parties, nor to impose any partnership obligations or liability on either Party. Furthermore, neither Party shall have any right, power, or authority to enter into any agreement or undertaking for or on behalf of, to act as or be an agent or representative of, or to otherwise bind the other Party. ARTICLE 8. GOVERNING LAW AND REGULATION 8.1 This Agreement was executed in the State of Texas and must in all respects be governed by, interpreted, construed, and enforced in accordance with the laws thereof, without regard to conflicts of law principles, except as to matters exclusively controlled by the Constitution and statutes of the United States"of America. This Agreement is subject to all valid, applicable federal, state, and local laws, ordinances, and rules and regulations of duly constituted regulatory authorities having jurisdiction. This Agreement and all obligations hereunder, are expressly conditioned upon obtaining approval, authorization, or acceptance by the Rural Utilities Services ("RUS") or any governing body, as required. 8.2 In the event a Court of competent jurisdiction declares any part of this Agreement invalid, the remainder of said Agreement shall remain in full force and effect and shall constitute a binding agreement between the Parties. ARTICLE 9. DEFAULT AND FORCE MAJEURE 9.1 Neither Party shall be considered in default with respect to any obligation hereunder, other than the payment of money, if prevented from fulfilling such obligation by reason of any cause beyond its reasonable control including, but not limited to, outages or interruptions due to weather, accidents, equipment failures or threat of failure, strikes, civil unrest, injunctions or order of governmental authority having jurisdiction. If performance by either Parry has been prevented by such event, the affected Party shall promptly and diligently attempt to remove the cause of its failure to perform, except that neither Brazos Electric nor City shall be obligated to agree to any quick settlement of any strike or labor disturbance, which, in the affected Party's opinion, may be inadvisable or detrimental, or to appeal from any administrative or judicial ruling. 9.2 Should either of the Parties hereto violate any material provisions of this Agreement, the other Party shall give written notice to the violating Party specifying the violation. Upon actual receipt of the Notice of Violation, Page 7 Brazos/Sanger Intercomiection such Party shall have one hundred eighty (180) days to correct such violation. In the event such violation of this Agreement is not corrected by the expiration of said one hundred eighty (180) days, this Agreement, subject to the applicable regulations of any jurisdictional regulatory authority, may be terminated by giving no less than sixty (60) days written notice of the Intention To Terminate, but no other remedy or remedies, available under the law, for such violation shall be limited in any way because of this provision or the exercise of the right conferred hereunder. 9.3 The failure of a Party to ID to insist, on any occasion, upon strict performance of any provision of this Agreement will not be considered to waive the obligations, rights, or duties imposed upon the Parties. ARTICLE 10. NOTICES 10.1 Notices of an administrative nature, including but not limited to a notice of termination, a request for amendment, a change to a Point of Interconnection, or a request for a new Point of Interconnection shall be forwarded to the designees listed below for each Party and shall be deemed to have been duly delivered if hand delivered or sent by United States certified mail, return receipt requested, postage prepaid. When payments are made by mail, invoices are considered as having been paid on the date that payment is received. Any payments made by the Parties under this Agreement must be made in immediately available funds with sufficient information to identify the source and application of the funds, or to such other bank account so directed in writing. 10.4 Bills not paid when due shall accrue interest on the unpaid balance from the due date until payment is received at the interest rate provided in PUCT Substantive Rule 25.202 or its successor in function. 10.5 If any portion of an invoice is in dispute, the disputed amount shall be paid by the disputing Party into an interest bearing account at a rate in accordance with PUCT Substantive Rule 25.202 or its successor in function until the dispute is resolved according to the reasonable satisfaction of both Parties. Within thirty (30) days of the payment of a disputed invoice, the disputing Party will give the other Party written notice of its dispute with the facts supporting the dispute. Each Party shall act in good faith to promptly resolve any such dispute. Adjustments in payments will be made as mutually agreed to by the Parties. Each Party agrees to make available to the other Party such system data as may be necessary to determine any factors for billing under the terms and conditions of this Agreement. The disputing Party shall remain obligated to pay any portion of an invoice not in dispute. 10.6 Neither Party shall have the right to initiate a challenge of any invoice rendered hereunder in a court of law or equity, arbitration, administrative proceeding, tribunal, or any other authority after a period of twenty-four (24) months from the date such invoice was first rendered. ARTICLE 11. MISCELLANEOUS PROVISIONS 11.1 All present or future federal, state, municipal, or other lawful taxes (other than federal income taxes, except where such federal income tax is applicable to a contribution in aid of construction) applicable by reason of UM Deleted: Administrator Brazos/Sanger Intercotumfion any service performed by City for Brazos Electric, or any compensation paid to City by Brazos Electric, hereunder must be paid by Brazos Electric. City is a tax-exempt entity and will provide its tax exemption number. Brazos Electric shall be responsible for all property taxes assessed on facilities that such Party owns. 11.2 The descriptive headings of the various articles and sections of this Agreement have been inserted for convenience of reference only and are to be afforded no significance in the interpretation or construction of this Agreement. 11.3 Facsimile copies of operational correspondence, other than notices required hereunder, including signatures thereon shall constitute original copies thereof and shall be as binding on the Parties hereto as the original. 11,4 This Agreement maybe executed in two or more counterparts, each of which is deemed an original but all constitute one and the same I nstrument. Supulemental terms and conditions: (a) When taus Agreement Was executed, the City Was purchasing from Brazos Electric Wholesale electric service, including capacity, energy, transmission, distribution and ancillary services, pursuant to the Wholesale Power Supply Contract between Brazos Electric and the City. This Agreement will supersede that portion of the Wholesale Power Supply Contract between Brazos Electric and the City related to interconnected electrical facilities for delivery points. (b) Brazos Electric Will provide, and City Will pay for, distribution substation service for this Point of Interconnection. This service consist of Brazos Electric providing transformation of electric power and energy from one of Brazos Electric's standard transmission voltages (60 KV or higher) to one of Brazos Electric's standard voltages below 60 KV including substation distribution bays. This service is provided, and the charges for this service is determined, in accordance with Brazos Electric's Wholesale Distribution Service Tariff (Rate WDS) or its successor (together with all riders applicable thereto), as it may from time to time be changed by Brazos Electric's Board of Directors or governing body. Construction of water, serer, street, and drainage facilities :�,�.11 begin within two (2) years after submissions of written request by landowners and payment of any development fees and construction costs required by the city in accordance with subdivision regulations and water and sewer extension policies. Construction will be completed within four and one half (44/2) years after request unless the construction process is interrupted by circumstances beyond the control of the city. In the past we have billed ourselves at a significantly discounted rate. Billing at the actual rate has the following advantages: 1) it more closely shows the actual expense of each department. 2) It reflects actual revenues for the electric department and reduces perceived line loss. 3) It will make the department heads more aware of the expense and encourage conservation. 4) It is a fairness issue in that we do not discount our rates for anything else. Since we collect the monies on one side and expense it on the other it is a wash from a revenue/expenditure standpoin#. To cover these costs on the General fund side I am requesting that we increase the franchise fee from 3% to 5%. Since we do not pass through the franchise fee to our customers, this will not increase their bill. The change will only mean that we will transfer 5% of gross revenues to the general fund instead of 3%. Thank You for Your consideration of this Matter. ORDINANCE 06-24-08 AN ORDINANCE OF THE CITY OF SANGER, DENTON COUNTY, TEXAS, AMENDING A FRANCHISE FEE FOR THE CITY OF SANGER ELECTRIC DEPARTMENT, GRANTING THE RIGHT, PRIVILEGE AND FRANCHISE TO USE THE STREETS, ALLEYS AND PUBLIC WAYS OF THE CITY OF SANGER, DENTON COUNTY, TEXAS, FOR THE PURPOSE OF TRANSMITTING, DISTRIBUTING AND/OR SELLING ELECTRICITY FOR LIGHT, HEAT, POWER AND OTHER USES; PROVIDING FOR AN ESTABLISHED COMPENSATION THEREFORE AND SPECIFYING AN EFFECTIVE DATE. FINANCIAL SUMMARY ®N/A ❑GRANT FUNDS ❑OPERATING EXPENSE ❑REVENUE ❑CI P ❑BUDGETED ❑NON -BUDGETED BACKGROUND/SUMMARY OF ITEM New legislation requires that all property owners, prior to being annexed into the City, be offered the opportunity to enter an agreement with the City that will allow them to remain outside of the City Limits if they agree to use the property for agriculture, wildlife management and/or timber related purposes. We offered an agreement to each property owner on the proposed annexation ordinance. Two property owners responded and wished to enter into agreements. These properties have been removed from the ordinance and the agreements are attached for approval. The first agreement is a fifteen (15) year term, entered into with Eline Kerr. Her property will be maintained as agriculture and any development will initiate voluntary annexation. The second agreement is with Don &Kim Hall. This property is on FM 455, toward the lake. They currently have storage units on the property, and they have agreed to a seven (7) year term, with the condition that they are allowed to continue the current use, and expand their business if desired. The nronertv will be annexed voluntarily after the seven (7) year term. STAFF OPTIONS &RECOMMENDATION: Approval List of Supporting Documents/Exhibits Attached: Prior Action/Review by Council, Boards, Commissions or Other Agencies: 2 Development Agreements STATE OF TEXAS CITY OF SANGER COUNTY OF DENTON CHAPTER 43 TEXAS LOCAL GOVERNMENT CODE DEVELOPMENT AGREEMENT This Agreement is entered into pursuant to Sections 43.035 and 212.172 of the Texas Local Government Code by and between the City of Sanger, Texas (the "City") and the undersigned property owner(s) (the "Owner"). The term "Owner" includes all owners of the Property. WHEREAS, the Owner owns a parcel of real property (the "Property") in Denton County, Texas, which is more particularly and separately described in the attached Exhibit "A"; and WHEREAS, the City has begun the process to institute annexation proceedings on all or portions of Owner's Property and has held public hearings on April 21, 2008 and May 5, 20081 and WHEREAS, the Owner desires to have the Property remain in the City's extraterritorial jurisdiction, in consideration for which the Owner agrees to enter into this Agreement; and WHEREAS, this Agreement is entered into pursuant to Sections 43.035 and 212.172 of the Texas Local Government Code, in order to address the desires of the Owner and the procedures of the City; and WHEREAS, the Owner and the City acknowledge that this Agreement is binding upon the City and the Owner and their respective successors and assigns for the term (defined below) of this Agreement; and WHEREAS, this Development Agreement is to be recorded in the Real Property Records of Denton County. NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties hereto agree as follows: Section 1. The City guarantees the continuation of the extraterritorial status of the Owner's Property, its immunity from annexation by the City, and its immunity from City property taxes, for the term of this Agreement, subject to the provisions of this Agreement. Except as provided in this Agreement, the City agrees not to annex the Property, agrees not to involuntarily institute proceedings to annex the Property, and further agrees not to include the Property in a statutory annexation plan for the Term of this Agreement. However, if the Property is annexed pursuant to the terms of this Agreement, then the City shall provide services to the Property pursuant to Chapter 43 of the Texas Local Government Code. Section 2. The Owner shall be allowed to continue the current use of the property, and expand such use, or use it for any other use allowed within Denton County, with the prior written consent of the City. The Owner acknowledges that each and every owner of the Property must sign this Agreement in order for the Agreement to take full effect, and the Owner who signs this Agreement covenants and agrees, jointly and severably, to indemnify, hold harmless, and defend the City against any and all legal claims, by any person claiming an ownership interest in the Property who has not signed the Agreement, arising in any way from the City's reliance on this Agreement. Section 3. The City is authorized to enforce all of the City's regulations and planning authority that do not materially interfere with the current use of the property. The City states and specifically reserves its authority pursuant to Chapter 251 of the Texas Local Government Code to exercise eminent domain over property that is subject to a Chapter 43 and/or Chapter 212 development agreement. Section 4. The term %J this Agreement (the "Term") is seven (7) years from the date that the Mayor's signature to this Agreement is acknowledged by a public notary. The i Owner, and all of the Owner's hers, successors and assigns shall be deemed to have filed a petition for voluntary annexation before the end of the Term, for annexation of the Property to be completed on or after the end of the Term. Prior to the end of the Term, the City may commence the voluntary annexation of the Property. In connection with annexation pursuant to this section, the Owners hereby waive any vested rights they may have under Section 43.002(a)(2) and Chapter 245 of the Texas Local Government Code that would otherwise exist by virtue of any plat or construction any of the owners may initiate during the time between the expiration of this Agreement and the institution of annexation proceedings by the City. Section 5. Property annexed pursuant to this Agreement will initially be zoned A —Agricultural pursuant to the City's Code of Ordinances, pending determination of the property's permanent zoning in accordance with the provisions of applicable law and the City's Code of Ordinances. Section 6. Any person who sells or conveys any portion of the Property shall, prior to such sale or conveyance, give written notice of this Agreement to the prospective purchaser or grantee, and shall give written notice of the sale or conveyance to the City. Furthermore, the Owner and the Owner's heirs, successor, and assigns shall give the City written notice within 14 days of any change in the agricultural exemption status of the Property. A copy of either notice required by this section shall be forwarded to the City at the following address: City of Sanger Attn: City Manager P.O. Box 1729 Sanger, TX 76266 Section 7. This Agreement shall run with the Property and be recorded in the real property records of Denton County, Texas. Section 8. If a court of competent jurisdiction determines that any covenant of this Agreement is void or unenforceable, including the covenants regarding involuntary annexation, then the remainder of this Agreement shall remain in full force and effect. Section 9. This Agreement may be enforced by any Owner or the City by any proceeding at law or in equity. Failure to do so shall not be deemed a waiver to enforce the provisions of this Agreement thereafter. Section 10. No subsequent change in the law regarding annexation shall affect the enforceability of this Agreement or the City's ability to annex the properties covered herein pursuant to the terms of this Agreement. Section 11. Venue for this Agreement shall be in Denton County, Texas. Section 12. This Agreement may be separately executed in individual counterparts and, upon execution, shall constitute one and same instrument. Section 13. This Agreement shall survive its termination to the extent necessary for the implementation of the provisions of Sections 3 and 4 herein. The term "Owner" includes all owners of the Property. WHEREAS, the Owner owns a parcel of real property (the "Property") in Denton County, Texas, which is more particularly and separately described in the attached Exhibit "A"; and WHEREAS, the City has begun the process to institute annexation proceedings on all or portions of Owner's Property and has held public hearings on April 21, 2008 and May 5, 2008; and WHEREAS, the Owner desires to have the Property remain in the City's extraterritorial jurisdiction, in consideration for which the Owner agrees to enter into this Agreement; and WHEREAS, this Agreement is entered into pursuant to Sections 43.035 and 212.172 of the Texas Local Government Code, in order to address the desires of the Owner and the procedures of the City; and WHEREAS, the Owner and the City acknowledge that this Agreement is binding upon the City and the Owner and their respective successors and assigns for the term (defined below) of this Agreement; and WHEREAS, this Development Agreement is to be recorded in the Real Property Records of Denton County. NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties hereto agree as follows: Section 1. The City guarantees the continuation of the extraterritorial status of the Owner's Property, its immunity from annexation by the City, and its immunity from City property taxes, for the term of this Agreement, subject to the provisions of this Agreement. Except as provided in this Agreement, the City agrees not to annex the Property, agrees not to involuntarily institute proceedings to annex the Property, and further agrees not to include the Property in a statutory annexation plan for the Term of this Agreement. However, if the Property is annexed pursuant to the terms of this Agreement, then the City shall provide services to the Property pursuant to Chapter 43 of the Texas Local Government Code. Section 2. The Owner covenants and agrees not to use the Property for any use other than for agriculture, wildlife management, and/or timber land consistent with Chapter 23 of the Texas Fax Code, except for existing single-family residential use of the property, without the prior written consent of the City. The Owner covenants and agrees that the Owner will not file any type of subdivision plat or related development- document for the Property with Denton County or the City until the Property has been annexed into, and zoned by, the City. The Owner covenants and agrees not to construct, or allow to be constructed, any buildings on the Property that would require a building permit if the Property were in the city limits, until the Property has been annexed into, and zoned by, the City. The Owner also covenants and agrees that the City's A —Agricultural District zoning requirements apply to the Property, and that the Property shall be used only for A— Agricultural District zoning uses that exist on that Property at the time of the execution of this Agreement, unless otherwise provided in this Agreement. However, the Owner may construct an accessory structure to an existing single family dwelling or structures used solely for Agricultural purposes, in compliance with all applicable City ordinances and codes. The Owner acknowledges that each and every owner of the Property must sign this Agreement in order for the Agreement to take full effect, and the Owner who signs this Agreement covenants and agrees, jointly and severably, to indemnify, hold harmless, and defend the City against any and all legal claims, by any person claiming an ownership interest in the Property who has not signed the Agreement, arising in any way from the City's reliance on this Agreement. Section 3. The Owner acknowledges that if any plat or related development document is filed in violation of this Agreement, or if the Owner commences development of the Property in violation of this Agreement, then in addition to the City's other remedies, such act will constitute a petition for voluntary annexation by the Owner, and the Property will be subject to annexation at the discretion of the City Council. The Owner agrees that such annexation shall be voluntary and the Owner hereby consents to such annexation as though a petition for such annexation had been tendered by the Owner. If annexation proceedings begin pursuant to this Section, the Owner acknowledges that this Agreement serves as an exception to Local Government Code Section 43.052, requiring a municipality to use certain statutory procedures under an annexation plan. Furthermore, the Owner hereby waives any and all vested rights and claims that they may have under Section 43.002(a)(2) and Chapter 245 of the Texas Local Government Code that would otherwise exist by virtue of any actions Owner has taken in violation of Section 2 herein. Section 4. Pursuant to Sections 43.035(b)(1)(B) of the Texas Local Government Code, the City is authorized to enforce all of the City`s regulations and planning authority that do not materially interfere with the use of the Property for agriculture, wildlife management, or timber, in the same manner the regulations are enforced within the City's boundaries. The City states and specifically reserves its authority pursuant to Chapter 251 of the Texas Local Government Code to exercise eminent domain over property that is subject to a Chapter 43 and/or Chapter 212 development agreement. Section 5. The term of this Agreement (the "Term") is fifteen (15) years from the date that the Mayor's signature to this Agreement is acknowledged by a public notary. The Owner, and all of the Owner's heirs, successors and assigns shall be deemed to have filed a petition for voluntary annexation before the end of the Term, for annexation of the Property to be completed on or after the end of the Term. Prior to the end of the Term, the City may commence the voluntary annexation of the Property. In connection with annexation pursuant to this section, the Owners hereby waive any vested rights they may have under Section 43.002(a)(2) and Chapter 245 of the Texas Local Government Code that would otherwise exist by virtue of any plat or construction any of the owners may initiate during the time between the expiration of this Agreement and the institution of annexation proceedings by the City. Section 6. Property annexed pursuant to this Agreement will initially be zoned A — Agricultural pursuant to the City's Code of Ordinances, pending determination of the property's permanent zoning in accordance with the provisions of applicable law and the City's Code of Ordinances. Section 7. Any person who sells or conveys any portion of the Property shall, prior to such sale or conveyance, give written notice of this Agreement to the prospective purchaser or grantee, and shall give written notice of the sale or conveyance to the City. Furthermore, the Owner and the Owner's heirs, successor, and assigns shall give the City written notice within 14 days of any change in the agricultural exemption status of the Property. This Agreement shall run with the Property and be recorded in the real property records of Denton County, Texas. Section 9. If a court of competent jurisdiction determines that any covenant of this Agreement is void or unenforceable, including the covenants regarding involuntary annexation, then the remainder of this Agreement shall remain in full force and effect. Section 10. This Agreement may be enforced by any Owner or the City by any proceeding at law or in equity. Failure to do so shall not be deemed a waiver to enforce the provisions of this Agreement thereafter. Section 11. No subsequent change in the law regarding annexation shall affect the enforceability of this Agreement or the City's ability to annex the properties covered herein pursuant to the terms of this Agreement. Section 12. Venue for this Agreement shall be in Denton County, Texas. Section 13. This Agreement may be separately executed in individual counterparts and, upon execution, shall constitute one and same instrument. Section 14. This Agreement shall survive its termination to the extent necessary for the implementation of the provisions of Sections 3, 4, and 5 herein. Visit us at www.sanger.lib.tx.us. We are still doing some fine-tuning and will continue updating, but we are very happy with our new look and all the wonderful features. ADMINISTRATION: Formulated the budget for 2008-2009. There are no collection numbers for last May on the statistics page of this report. V that time we had just upgraded to new library automation software and had not yet learned how to make it deliver the numbers we needed. It is still a tedious process. PUBLIC RELATIONS: Summer Reading Club flyer was distributed to Sanger and Valley View schools. Sanger schools no longer give it to every child, but only to those who voluntarily pick one up. PROGRAMS: Adult programs included two Knitting/Crochet classes on Saturday and a Book Club organizational meeting. Teens also rnet to organize a Teen Book Club. At Tenderfoot Learning Center, presented a program to the "Mom and Me" group about the upcoming Summer Reading Club. "Wild Animals" was the Storytime theme. During the first week, kids made masks at the "Lions and Tigers" program. At the "Monkeys" program kids put peanut shell monkeys into paper towel roll trees. A straw served as a real working nose in the paper cup elephants that kids made during the "Elephants" program. Kids laced up their own paper plate pocket at the "Kangaroos" program. Are you ready to read something fun or even interesting, instead of something for school or work? Maybe you have heard of the immense success and popularity of Oprah Winfrey's book club, or of Jefferson, TX'stiara-wearing Pulpwood Queens Book Club, featured on The Oprah Show and Good Morning America? Book clubs are all the rage these days, doubling in number since 1994, conservative estimates say. Oprah in large part started the trend when she began her book club in 1996, and each selection (48 in her original book club) became a bestseller almost instantly. Now businesses, schools, neighborhoods, church groups and of course libraries frequently feature a variety of book clubs. Sanger Public Library is ready to join the book club movement, beginning with one club for adults and one for teens. Thanks to the North Texas Regional Library System, R.E.A.D. (Read Everything and Discuss), and the Tocker Foundation, the library will have multiple copies of book club books available for checkout. On Tuesday, May 13, organizational meetings will be held at 10:00 for adults and 4:00 for teens. Participants will discuss meeting times, types of books, any ground rules desired, if snacks are wanted, and any other questions anyone has. Everyone is welcome, and if someone wants to participate but can't make the organizational meeting, just let the library know. Reading Club sign-up is underway. This free program is co -sponsored by the Texas State Library and Archives Commission and includes individual reading rewards, weekly Storytimes and special events. "More than 100 children read for over 350 hours last summer," said Library Director Vicky Elieson. "This year we hope that more children of Sanger will join us and earn coupons and prizes from Steve's Bake Shop, McDonald's, SuperSave, Whataburger, the City of Sanger and Ringling Brothers Circus." Local school officials applauded the public library for its efforts to help local school children maintain and improve their reading skills. "We have reading programs for teens and adults, too," said Ms. Elieson. "Even though they don't need to maintain their reading skills, they still like to have fun:' Adults and teens can enter a weekly drawing for prizes donated by King's Filling Sta- tion, Babe's, Jac's Treasures and Eu- phoria Day Spa. WI1�1 ►TAD MHO Earlier this year, the Texas Transportation Commission adopted rule changes that permit electronic (typically, light -emitting diode or "LED") billboards on state highways within a city's limits or extraterritorial jurisdiction, subject to the city's written consent. The rules become effective on June 1, 2008, and make clear that, for an existing sign to be upgraded to an electronic sign, the applicant must receive permission from the regulating city. However, some may still question whether a city may withhold written consent absent an ordinance that expressly regulates or bans LED billboards. Accordingly, many cities have amended their sign ordinances to expressly prohibit LED billboards. In addition, some cities with an outright ban on all new billboards have supplemented their ordinances with language that addresses LED billboards. Cities that decide to regulate or prohibit electronic billboards should consult with local legal counsel to ensure that appropriate changes are added to their sign ordinances. CY MANAGEMENT TRAINING UPD The 2007 homeland security bill, S.B. 11, mandates that certain appointed public officers complete three hours of emergency management training. A detailed article describing this training appeared in the April 30, 2008, and June 20, 2007, editions of the TML Legislative Update. Both are available at http•//www tml.org/le ig s updates.html. 2 Under the bill, certain appointed public officers, including fire chiefs and some appointed emergency management personnel, are required to take the emergency management training. The training must be completed: (1) by January 1, 2009, for officers who took office before January 1, 2008; or (2) within 180 days of taking office for an officer who took office after January 1, 2008. Under the bill, the Governor's Division of Emergency Management (division) is tasked with developing and providing the training. The division must "ensure that at least one course of training approved or provided by the division is available on videotape or a functionally similar and widely available medium at no cost." What can affected city officials do if the division hasn't prepared a free video by the appropriate deadlines? Apparently nothing. The free and convenient nature of the training was key to the intent of the legislation. Until the materials are made available by the I ivision, it is TML's position that city officials need not act. Future editions of the TML Legislative Update will identify any division training when it is made available. DIGITAL TELEVISION DEADLINE APPROACfIES The Digital Television Transition and Public Safety Act of 2005 is a federal law that mandates that all television stations switch from analog broadcast to digital broadcast on February 17, 2009. The switch will affect the estimated 34 million households that have at least one television that cannot receive the new broadcast signal, and many of those consumers may not be aware of the transition. To help city officials who may wish to educate constituents about the digital switch, the National Association of Broadcasters (NAB) has developed an electronic toolkit for elected officials to help prepare constituents for the transition. The e400lkit contains detailed information about the transition as well as coupons for television converters and instructions for recycling old televisions. Here are three things a local government official may do: 1. Be prepared to get the message out and explain the transition to your constituents. The electronic toolkit is available at http://www nab.org/xert/televisions/dtv email/elected officials toolkit.html. 2. Encourage your constituents to apply now for converter box coupons. Constituents can apply for up to two coupons per household online or by phone, fax, or the U.S. mail. Coupons expire 90 days after they are mailed. Requests much be received by March 31, 2009. City finance officers will therefore need to incorporate the requirements of those two bills into this year's tax rate preparations. The first bill, H.B. 3495, requires that the published notice of a city council meeting at which there will be a vote on a tax rate that exceeds the effective tax rate must contain certain comparative information about the tax levies for the current year and the prior year. Specifically, the comparison must show: (1) total property tax revenue raised last year; (2) total property tax revenue to be raised this year at the proposed rate, excluding tax revenue from new property; and (3) total property tax revenue to be raised this year at the proposed rate, including tax revenue from new property. The second bill, H.B. 3630, affects tax notices as follows: (1) requires that the published notice of the city's two tax increase hearings must acknowledge that there are two hearings, instead of one, and must give the date and time of the second hearing in addition to the first; (2) requires that the published notice of the city's two tax increase hearings must . contain comparative information regarding the "average taxable value" of a residence homestead in the city and the tax levied on such an "average" home for both last year and this year at the proposed rate; (3) requires that the published notice of the city's two tax increase hearings must contain this statement: "Members of the public are encouraged to attend the hearings and express their views'; (4) deletes old notice language relating to property tax comparisons and replaces it with the new "average taxable value" analysis in (2) above; (5) requires that the published notice of a city council meeting at which there will be a vote on the tax rate that exceeds the effective tax rate must contain the same new comparative information required by H.B. 3495 above. The Honest Leadership and Open Government Act made amendments to existing law that governs lobbying disclosure requirements. Under the law, lobbyists who engage in "lobbying contacts" with members of Congress are required to file disclosure reports describing the subject of those ,contacts and the clients- on whose behalf the contacts are made. While the new law increases the frequency with which lobbying reports must be filed and the information that must be disclosed, it continues several important exceptions to the disclosure reporting requirements. First, a "public official" acting in the public official's official capacity who communicates with a member of Congress does not make "lobbying contacts" and is not subject to the disclosure requirements. A "public official" is defined as: (1) any elected or appointed official, or employee of a federal, state, or local government; and (2) an organization of state or local elected or appointed officials. Of note, contract lobbyists are not covered by the above exceptions. As such, if a city or organization of city elected or appointed officials hires a contract lobbyist to lobby Congress, that lobbyist is subject to the disclosure requirements. FEDERAL COURT OF APPEALS ISSUES FAVORABLE OPINION REGARDING UTILITY RELOCATION Texas cities have the authority to manage and regulate their public rights -of --way. One aspect of right -of --way management is the regulation of right -of --way use by utility companies. However, under Section 253 of the Federal Telecommunications Act (Act), a city cannot prohibit any company from providing telecommunications service within the city. 47 U.S.C. § 253(a). Fortunately, the federal statute also includes a "safe harbor" provision for cities. That provision states: Nothing in this section affects the authority of a State of local government to manage the public rights -of --way or to require fair• and reasonable compensation from telecommunications providers, on a competitively neutral and nondiscriminatory basis, for use of public rights -of -way on a nondiscriminatory basis, if the compensation required is publicly disclosed by such government. 47 U.S.C. § 253(c). In 2005, the City of Houston adopted an ordinance requiring owners of facilities located in public rights -of --way to bear the cost of relocating their equipment to accommodate ciiy public works projects. The city then required AT&T to remove its facilities for a city drainage improvement project at a cost of $420,000, AT&T relocated its facilities but, E believing the city's relocation ordinance was preempted by Section 253 of the Act, sued the city to recover the cost of the relocation. AT&T also argued that the city 's relocation ordinance was preempted by state law. The city argued that its ordinance fell within the "safe harbor" provision of the Act, and that there was no private cause of action for telecommunications companies to sue under the federal law. The case hinged on whether: (1) there is a private right of action under the Act; (2) the city's relocation ordinance violates the Act by prohibiting telecommunications service, and therefore is preempted; (3) the "safe harbor" provision would save the city's ordinance from preemption even if the ordinance worked as a prohibition of telecommunications service; and (4) the ordinance, if saved by the "safe harbor" provision, is also neutral and nondiscriminatory. The district court in the case concluded that the relocation ordinance fell within the "safe harbor" provision and that there is no private right of action by telecommunications companies under the Act. The federal Fifth Circuit Court of Appeals recently concluded in Southwestern Bell Telephone, LP, doing business as AT&T Texas v. City of Houston (No. 07-20320) that telecommunications companies do not have a private right of action under the Act and that the Houston ordinance falls within the "safe harbor" provision and does not discriminate against any telecommunications provider. The decision is a favorable one for Houston and all other cities that have projects that might require relocation of utility facilities. However, AT&T's state law claims were not addressed by the district court or the court of appeals and thus may be refiled in state court. TML staff will continue to monitor the case, should it be appealed or should the case be refiled in state court, and take action as necessary.
