GENERAL AGREEMENT
THIS AGREEMENT, made this
day of , 2006, by and
between GAFFKE TEXAS COMMERCIAL PROPERTIES, LLC., an Oklahoma Limited Liability
Company, (First Party) and the CITY OF SANGER, Sanger, Texas, (Second Party).
WITNESSETH: That in consideration of the mutual covenants and agreements to be kept
and performed on the part of said parties hereto, respectively as herein stated, the said party of
the first part does hereby covenant and agree that it shall:
1. Execute a quit claim deed to an unimproved portion of the property (description and
boundaries to be determined by property survey and mutual agreement between the
Parties) owned by the First Party located at 103 W. Bolivar, Sanger, Texas transferring
ownership to the City of Sanger, Sanger, Texas.
And said party of the second part covenants and agrees that it shall:
1. Execute a twenty (20) year Triple Net Lease Agreement (formal Lease Agreement to be
provided by the First Party) with the First Party for the remaining improved portion of the
property (approximately 55,000 square feet) located at 103 W. Bolivar, Sanger, Texas,
effective May 1, 2007, at a Triple Net lease rate as follows:
A. Lease rate for years
payable monthly.
1 — 5 shall be $1.75/sq ft, triple net, on an annual basis, ,,
B. Lease rate for years 6-10 shall be $1.88/sq ft, triple net, on an annual basis,

C. Lease rate for years 11 -1 5 shall be $2.07/sq ft, triple net, on an annual basis,

Other terms to be observed by and between the parties.
1. The Lease Agreement will stipulate that the City of Sanger will have the right of first
refusal to purchase the Leased Property should the First Party decide to sell said
property.
This agreement shall be not be binding upon the parties, their successors, assigns, and
personal representatives until such time as a binding Letter of Intent or a Formal Lease
Agreement has been signed. However, time is of the essence and the First Party reserves
the right to lease, sell, assign, or otherwise manage and control the disposition of the
property until such time as a binding Letter of Intent and/or a Formal Lease Agreement has
been executed with the City of Sanger, Sanger, Texas. This agreement shall be enforced
under the laws of the State of Oklahoma.
