Enhancement Incentives Policy, the undersigned do hereby certify the following:

Section 7.1- ApRlication Accuracy: The information provided in the Application, and all that may have
been affixed thereto, is true and correct, and that the City / Board may rely on all of the information therein
contained, and all that may have been affixed thereto, as being true and correct.

Section 7.2 - Compliance: I (we) certify that I am (we are) solely responsible for all safety conditions and
compliance with all safety regulations, building codes, ordinance and other applicable regulations. Neither
approval of an Application nor payment of a Property Enhancement Grant upon completion of the project
shall constitute approval of the project by any City department, Board Member or Staff or a waiver by the
City of any safety regulation, building code, ordinance or other applicable regulation.

Section 7.3 - Insurance: I (we) certify that I (we) maintain sufficient insurance coverage for property
damage and personal injury liability relating to the project.

Section 7.4 - Maintenance: I (we) certify that the Enhancements, once approved by the City shall be
maintained for a period of three (3) years from the date of payment. No changes shall be made without
prior written approval from the City.

Section 7.5 - Discretionary Rights: I (we) certify that I (we) acknowledge that the City has the absolute right
of discretion in deciding whether or not to approve a matching Grant relative to the Application, whether or
not such discretion is deemed arbitrary or without basis in fact, including the right to approve or disapprove
a Grant on terms and conditions that are contrary to the guidelines of this Policy.

Section 7.6 - Policy Promotion: I (we) authorize the City to use an approved project to promote the merits
of this Policy, including but not limited to displaying a sign at the Property or Business during and within
thirty (30) days after construction, and using photographs and descriptions of the project in distribution
material, press releases, social media and on the City's website.

Section 7.7 - Indemnification: I (we) certify that I am (we are) solely responsible for overseeing the work,
and will not seek to hold the City, the Board, and / or their agents, employees, officers, and / or directors
liable for any property damage, personal injury, or other loss related in any way to this Policy, and by
submission of an Application, agree to indemnify the City, the Board and / or their agents, employees,
officers, and / or directors from any claims or damages resulting from the project, including reasonable
attorney fees.

Letter of Intent
To whom it may concern,
Bolivar St. Revival & Spirits intends to complete our patio with fencing,
appropriate electric work for the space, and a rear facing sign. This patio space will add
to the general ambiance of the establishment, give the community a place to
congregate, and has the potential to pull tourists from other communities as well. The
patio fencing is as much of an aesthetic choice as it is a necessary safety precaution,
preventing customers from stepping off the patio by accident and from leaving the
premises with alcoholic beverages. Electric outlets will be added to allow us to add
lighting, music, and host events. The rear facing sign will help attract people to the
establishment and notify customers coming from other cities visiting to eat Babe's that
there are in fact other things to do on the Sanger square. We are hoping that these
things together, along with tables, chairs, decorations, and more will create a unique
patio space that residents of the city of Sanger will love.

change in locking systems, Tenant must provide two keys to Landlord contemporaneously with the chance
and insure that Landlord has keys to the Premises at all times. Failure to provide Landlord a key is a
material breach of this Lease.

Premises without Landlord"s prior written consent. Notwithstanding: anytljing to the contrary set forth
herein. the Landlord consents to the Tenant's attachment of satellite dishes and equipment necessary to
operate the Tenant's point of sale machines and to provide the Premises xv ith television viewing. Tenant
agrees to cooperate with Landlord to determine a €mutually acceptable location and mechanism for fixin4-

12. Use the roof of the Shopping Center for any reason without Landlord's prior written consent.

C. Landlord agrees to-
1. Lease to Tenant the Premises for the entire Term beginning on the Commencement Date and ending
on the Termination Date.
2. Obey all applicable laws with respect to Landlord`s operation of the Premises.
3. Provide Essential Services.
4. Repair, replace, and maintain the (a) roof: (b) foundation, (c) Common Areas (if any), (d) structural
soundness of the exterior and bearing walls, and any damage caused by structural sh ifi (e) any other matters
expressly made the responsibility of Landlord hereunder, and (f) will replace the HVAC equipment
following the expiration of its useful life during the last 12 months of this Lease.
5. Return the Security Deposit_ if any. to Tenant, less itemized deductions, if any, within sixty days after
the last day of the Term.
6. Obtain and maintain at Landlord's sole cost and expense (subject to Tenant's reimbursement set forth
herein) during the terra of this Lease fire and extended coverage insurance, insuring against all risks and
liabilities. ("casualty or hazard insurance") for replacement value of the Premises. Such insurance will be
issued by an insurance company with a Best's rating of at least -A-. In addition, Landlord will obtain and
maintain at Landlord's sole cost and expense (not subject to Tenant's reimbursement), comprehensive
general liability insurance with a minimum per occurrence limit of one million dollars ($1.000.000.00).
Such policy or policies will be issued by an insurance company %ith a Best's rating of at least "A".
D. Landlord agrees not to —
Interfere with Tenant's possession of the Premises except as allowed by law.
2. Unreasonably withhold, condition or delay any required consent hereunder.

1. Alterations. Excludina Tenant's trade fixtures, including but not limited to the televisions, point of sale
machines, ice machines, walk-in coolers, kitchen equipment, and furniture, any physical additions or
improvements to the Premises made by Tenant will become the propem' of Landlord at the end of the Term
and at Tenant's expense, Tenant must remove all fixtures and improvements, including Tenant's trade
fixtures, repair any alterations. and restore the Premises to the condition existing at Commencement, broom
clean, normal wear excepted. Notwithstanding any provision to the contrary in this lease, all bathroom
plumbing and air conditioning. heating and electrical equipment and conduits i,\ ill become the property of
Landlord on termination and must remain on the Premises.
^. Abatement. Tenant's covenant to pay Rent and Landlords covenants are independent. Except as
otherwise provided herein or by law, Tenant will not be entitled to abate Rent for any reason.
3. Insurance. Tenant and landlord will maintain the respective insurance co�rerages described above in
this Lease_ Tenant may maintain the required insurance in the form of a blanket policy covering other
locations in addition to the Premises. provided however that the Tenant \� ill provide the I.:andlord with a

waivers. Each party shall provide the other annually with evidence that its policies have been so endorsed.
4. CasualtyrTotal or Partial Destruction
a. if the Premises are damaged by casualty and can be restored within one -hundred twenty (120) days,
Landlord will, at its expense, restore the roof. foundation, Common Areas, and structural soundness of
the exterior walls of the Premises and any leasehold improvements within the Premises that are not
within Tenant's Rebuilding Obligations to substantially the same condition that existed before the
casualty. Tenant will, at its expense, replace any of its damaged furniture, fixtures, and personal
property and restore any leasehold improvements that are within Tenant's Rebuilding Obligations. If
Landlord fails to complete the portion of the restoration for which Landlord is responsible within one -
hundred twenty (I 20) days from the date of written notification by Tenant to Landlord of the casualty.
Tenant may terminate this lease by written notice delivered to Landlord before Landlord completes
Landlord's restoration obligations.
b. If Landlord cannot complete the portion of the restoration for which Landlord is responsible within
one hundred twenty (120) days, Landlord has an option to restore the Premises. If Landlord chooses
not to restore, this lease will terminate. If Landlord chooses to restore. Landlord will notiA- Tenant in
writing of the estimated time to restore and give Tenant an option to terminate this lease by notifying
Landlord in writing within ten days from receipt of Landlord's estimate. If Tenant does not notify
Landlord timely of Tenant's election to terminate this lease. the lease «ill continue and Landlord will
restore the Premises as provided in a. above.
c. To the extent the Premises are untenantable after casualty. the Rent „ill be abated as rna% be fair
and reasonable.
5. Condemnation/Substantial or Partial Taking
a. If the Premises cannot be used for the purposes contemplated by this lease becausr of condemnation
or purchase in lieu of condemnation, this lease will terminate.
b. Whether or not any portion of the Premises is taken by condemnation or purchase in lieu of
condemnation. Landlord and Tenant may elect to terminate this lease if 50 percent or more of the
Common Area is taken.

or vacating a substantial portion of the Premises, and (c) failing to comply within thirty (30) days after

however, that if the nature of Tenant's obligation is such that more than thirty (30) days are reasonably
required for performance. then Tenant will not be in default if Tenant commences performance within said

10. Default by Tenant/Landlord's Remedies. Landlord's remedies for Tenant's default are to (a) enter and
take possession of the Premises. after which Landlord may relet the Premises on behalf of Tenant and
receive the rent directly by reason of the relettin<g, and Tenant agrees to reimburse Landlord for anv
expenditures made in order to relet: (b) enter the Premises and perform Tenant's obligations. and (c)
terminate this lease by written notice and sue for damages. Landlord may enter and take possession of the
Premises by self-help, by picking or changing locks if necessary, and may lock out Tenant or any outer
person who may be occupying the Premises, until the default is cured. without being liable for damages.
11. Default/Waiver/Mitigation. It is not a waiver of default if the non -defaulting party fails to declare
immediately a default or delays in taking any action_ Pursuit of any remedies set forth in this lease does not
preclude pursuit of other remedies in this lease or provided b)applicable law. Landlord and tenant have a
duty to mitigate damages.
12. Security Deposit. If Tenant defaults, Landlord may use the Security Deposit_ if any, to pay arrears of

PORTER PARK RENOVATIONS UPDATE

ACTION REQUESTED:
BACKGROUND:
• On March 21, 2022 City Council authorized the City Manager to negotiate a contract with Parkhill for
Professional Design Services for renovations to Porter Park.
• On April 6, 2022 Parkhill submitted their proposal to work with the City of Sanger on the Porter Park Project
• Legal drafted a Professional Services Agreement and submitted the document to Parkhill on April 20, 2022 for
review.
• Parkhill responded with minor comments to fine tune the agreement, and legal approved all comments
• Contract was signed by Parkhill on May 3, 2022
• On May 16, 2022, City Council authorized the City Manger to execute the agreement
